Terms & Conditions

The following terms and conditions govern all use of the Prime-Numbers-API website and all content, services, and products available at or through the website, including, but not limited to, the eBusiness Media Limited user management service ("Prime-Numbers-API"), (taken together, the Services). The Services is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies, and procedures that may be published from time to time on this Site by Prime-Numbers-API (collectively, the "Agreement").

Please read this Agreement carefully before accessing or using the Services. By accessing or using any part of the Site, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access or use the Services.

Your Prime-Numbers-API Account

If you create an account on the Services, you are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account. You must immediately notify Prime-Numbers-API of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by You, including any damages of any kind incurred as a result of such acts or omissions. You must be a human. Accounts registered by "bots" or other automated methods are not permitted. You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process. Your login may only be used by one person - a single login shared by multiple people is not permitted. You may create separate logins for as many people as your plan allows. You may not use the Services for any illegal or unauthorized purpose. You must not, in the use of the Services, violate any laws in your jurisdiction (including but not limited to copyright or trademark laws).

Payment and Renewal

Optional paid services are available on the Site (any such services, an "Upgrade"). By selecting an Upgrade you agree to pay Prime-Numbers-API the monthly subscription fees indicated for that service (additional payment terms are described below). Payments will be charged on a pre-pay basis on the day you sign up for an Upgrade and will cover the use of that service for a monthly subscription period as indicated. Upgrade fees are not refundable, except in the case where a refund is requested before the relevant API key has been issued.

Fees Payment

By signing up for a Prime-Numbers-API account you agree to pay us the monthly fees indicated to you when you registered for any Upgrades on the Site in exchange for the Services. Applicable fees will be invoiced starting from the day your paid account is established and in advance of using such services. We reserve the right to change the payment terms and fees upon thirty (30) days' prior written notice to you. Your accounts can be canceled by you at any time on two (2) days' written notice to us. Subscription payment once made is not liable for refund in any case except for one: if a refund is requested before the relevant API key has been issued. In other words, there is no refund of a subscription even if that subscription is cancelled midway. In this case, your subscription will continue until it has expired even after your cancelling.

Support

Prime-Numbers-API includes free access to a Help Centre for all users and access to Support Tickets for users with any of the three paid plans. "Support Tickets" means the ability to make requests for assistance by filling out the contact form at any time (with reasonable efforts by us to respond within one business day) concerning the use of the Services. All support will be provided in accordance with our standards and practices, procedures, and policies.

Customers may access their account data via an API (Application Program Interface. Any use of the API, including use of the API through a third-party product that accesses Prime-Numbers-API, is bound by these Terms of Service plus the following specific terms:

Damage and liability: You expressly understand and agree that Prime-Numbers-API shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if the Services have been advised of the possibility of such damages), resulting from your use of the API or third-party products that access data via the API.
Rate limiting: Abuse or excessively frequent requests to the Services via the API may result in the temporary or permanent suspension of your account's access to the API. Prime-Numbers-API, in its sole discretion, will determine abuse or excessive usage of the API. We will make a reasonable attempt via email to warn the account owner prior to suspension.
Discontinuation: We reserve the right at any time to modify or discontinue, temporarily or permanently, your access to the API (or any part thereof) with or without notice.

Marketing

As a paying customer, you give Prime-Numbers-API a perpetual world-wide license to use your company's assets and logos, unless we agree in writing otherwise. These assets and logos will be used purely for marketing and sales efforts, such as being displayed on the home page.

Copyright Infringement

As Prime-Numbers-API asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that material located on or linked to by our Site violates your copyright, you are encouraged to notify us. We will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. We will terminate a visitor's access to and use of the Services if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of Prime-Numbers-API or others. In the case of such termination, we will have no obligation to provide a refund of any amounts previously paid to Prime-Numbers-API.

Intellectual Property

This Agreement does not transfer from us to you any Prime-Numbers-API or third party intellectual property, and all rights, titles, and interest in and to such property will remain (as between the parties) solely with the Services. Prime-Numbers-API, its logo, and all other trademarks, service marks, graphics, and logos used in connection with Prime-Numbers-API, or the Services are trademarks or registered trademarks of Prime-Numbers-API or its licensors. Other trademarks, service marks, graphics, and logos used in connection with the Services may be the trademarks of other third parties. Your use of the Services grants you no right or license to reproduce or otherwise use any Prime-Numbers-API or third-party trademarks.

Use License

Under this license you may not:

Attempt to decompile or reverse engineer any software contained on Prime-Numbers-API's web site or API.
Access the Site or Services in order to build a similar or competitive service.
This license shall automatically terminate if you violate any of these restrictions and may be terminated by us at any time.

Changes

Prime-Numbers-API reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Services following the posting of any changes to this Agreement constitutes acceptance of those changes. We may also, in the future, offer new services and/or features through the Services (including the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.

Termination

We may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your account (if you have one), you may simply discontinue using the Services. Notwithstanding the foregoing, if you have a paid account, such account can only be terminated by us if you materially breach this Agreement and fail to cure such breach within thirty (30) days' notice to you thereof; provided that, we can terminate the Services immediately as part of a general shut down of our service. All provisions of this Agreement, which by their nature should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

The Services are provided "as is". Prime-Numbers-API and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement. Neither Prime-Numbers-API nor its suppliers and licensors make any warranty that the Services will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Site at your own discretion and risk.

Limitation of Liability

In no event will Prime-Numbers-API, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability, or other legal or equitable theory for: (i) any special, incidental, or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to the Site under this agreement during the twelve (12) month period prior to the cause of action. We shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

General Representation and Warranty

You represent and warrant that (i) your use of the Services will be in strict accordance with the Prime-Numbers-API Privacy Policy, with this Agreement, and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental areas, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from Scotland, U.K. or the country in which you reside) and (ii) your use of the Services will not infringe or misappropriate the intellectual property rights of any third party.

Indemnification

You agree to indemnify and hold harmless Prime-Numbers-API, its contractors, its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys' fees arising out of your use of the Services, including but not limited to your violation of this Agreement.

Miscellaneous

This Agreement constitutes the entire agreement between Prime-Numbers-API and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of the Services, or by the posting by us of a revised version. Except to the extent applicable law, if any, provides otherwise, this Agreement, any access to or use of the Services will be governed by the laws of Scotland, U.K., excluding its conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the state and union courts located in Scotland, U.K. Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought in any competent court without the posting of a bond), any dispute arising under this Agreement shall be finally settled in accordance with the law of the land which in this case is Scotland, U.K. The arbitration shall take place in Scotland, U.K., in the English language and the arbitral decision may be enforced in any court. The prevailing party in any action or proceeding to enforce this Agreement shall be entitled to costs and attorneys' fees. If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such terms or conditions or any subsequent breach thereof. You may assign your rights under this Agreement to any party that consents to, and agrees to be bound by, its terms and conditions; Prime-Numbers-API may assign its rights under this Agreement without condition. This Agreement will be binding upon and will inure to the benefit of the parties, their successors, and permitted assigns.

Terms of Use

Acceptance of Terms

By subscribing to any of the Prime-Numbers-API plans offered on our website, you the API subscriber (“you”) confirm that you have read and agree to the Terms of Use outlined below. Failure to honor these terms will result in your use of the Services being suspended and/or permanently blocked.

License

A Prime-Numbers-API subscription grants you a nonexclusive, non-transferable license to use the Services on a month-by-month basis dependent on your payment of the monthly fee associated with your subscription (and any additional charges due to exceeding the number of calls per day covered by your subscription) and on your agreement to respect these terms. You will be charged every month until you cancel your subscription.

You must agree to keep your API key confidential. If you post or commit code in a support forum, GitHub, etc., you must first remove the API key. If your key is compromised and abused by an unauthorized user, you are responsible for its misuse and for any additional charges or harm incurred.

Content

By using the Prime-Numbers-API, you agree to assume all responsibility and risk of use of the Services. We are not responsible or liable for any consequences that result from your use of the Services and the content, materials, and information it contains. It is your responsibility to display appropriate disclaimers regarding potential inaccuracies pertaining to numbers found, conversions, explanations, types, etc. in connection with the results you receive from the database.

Prime-Numbers-API also reserves the right to include its logo, links to the Site, and/or advertisements (e.g. links or images related to sponsors) in the Prime-Numbers-API, including its widgets.

Prohibitions

You may use the data provided by the Services as part of your website, application, or other projects, but you cannot use the data to create a site or application meant to provide the same experience as Prime-Numbers-API. Should we determine that your website or application is attempting to compete with our website/apps or to drive traffic away from Prime-Numbers-API in another way, you will no longer be allowed to use the Services. In this case, however, you may reach out to us to discuss a possible business partnership.

You may not create the impression that your site or application is endorsed by us, nor may you use any of our brands/logos to promote your site/app without prior permission. Again, please reach out if you would like to work more closely together - in some cases we may discount your Prime-Numbers-API use. However, if you are invited by us to a free, custom plan for hackathons or academic use, then you must provide a back-link to our API page (Prime-Numbers-API.com).

You may not scrape the Prime-Numbers-API or in any way attempt to copy or store the information it provides, including any derived, hashed, transformed, or cached data. Doing so is against the current usage policy and would lead to instant termination of your account without any refund. If you stop using the Services or if your access to the API is suspended for any reason, you must delete all data you ever obtained from the Prime-Numbers-API.

You may not resell any data received via the Prime-Numbers-API.

You may use the API in order to compare the Prime-Numbers-API to our competitors.

We reserve the right to discontinue the Services or to withdraw your permission to use the API at any time for any reason without notice.

Disclaimer

The Prime-Numbers-API and all the data it consists of are intended for informational purposes only, and are provided "as is", "with all faults", and "as available". This means that while we do our best to ensure the quality of the API and the accuracy of its data, there are no guarantees or warranties (neither expressed nor implied), including merchantability, fitness for a particular purpose, and non-infringement. We are not accountable for any losses, damages, or any other problems that occur because the Services are unavailable or slow, because the data contains errors, or because of any text or images that you show on your website, in your app, etc., even if the text or image(s) come from the Prime-Numbers-API.

You also agree that we may use your logo and company name as a professional reference/use case. If you do not want this, please let us know in written form.

Nothing in these Terms of Use shall be construed as creating an employer-employee relationship, a partnership, a joint venture, or any other type of business relationship without an express written agreement between the parties.

Representations and Indemnification

You represent and warrant that you have the necessary power and authority to enter into this Agreement. If you are agreeing to these Terms on behalf of your employer or other entity, you represent and warrant that you have the full legal authority to bind your employer or such entity to these Terms of Use. You will fully indemnify, hold harmless, and defend Prime-Numbers-API from any and all claims, damages, losses, liabilities, actions, judgments, costs, and expenses (including reasonable attorney's fees and costs) brought by a third party arising out of or in connection with your use of the Services.

Limitations of Liability

In no event will Prime-Numbers-API be liable for any special, incidental, indirect, consequential, or lost profit damages, arising out of or in connection with these API Terms, whether based on breach of contract, tort (including negligence), product liability, or otherwise, and whether it has been advised of the possibility of such damage. The limitations specified in this section will survive and apply even if any limited remedy specified in these API Terms of Use is found to have failed of its essential purpose.

Choice of Law

The terms and conditions of this Agreement are governed by and shall be construed in accordance with the laws of Scotland, located in the United Kingdom. All disputes arising out of or in connection with the terms and conditions of this Agreement shall be subject to the exclusive jurisdiction of the Courts of Scotland.

Updates

These Terms of Use may be updated or revised. You are responsible for regularly reviewing these Terms of Use so long as you continue to use the Prime-Numbers-API. If necessary, you will need to change your websites/app/etc. to be in compliance with these terms. Your continued use of the Services after changes to the Terms of Use will constitute acceptance of and agreement to such changes.
